WHO YOU’LL WORK WITH
The Counsel, Technology role is part of the Technology team within Bain’s Legal group, supporting the review, drafting, and negotiation of a range of technology-related contracts and advising on the use of AI.
Bain’s Legal team is a group of experienced lawyers across the globe who work closely together to support the firm, maintaining the highest possible client-service standards with internal clients.
This role advises on AI, licensing, hosting, software development, data usage, and digital product matters, playing a key role in legal services and risk management for Bain’s digital product development teams.
WHERE YOU’LL FIT WITHIN THE TEAM
The Counsel, Technology role reports to the Assistant General Counsel and is part of the Technology team within Bain’s Legal group. This role supports Bain’s global operations by advising on technology-related legal matters, AI initiatives, digital product development, strategic partnerships, and technology contracting activities. The role is based in either the Boston or Dallas office.
WHAT YOU’LL DO
Technology Contracts & Counsel (50%)
- Counsel on legal issues and processes associated with outsourcing, consulting, licensing, hosting, software development and other third-party engagements relating to technology, including negotiation and drafting of contracts and associated documentation.
- Advise on inbound and outbound licensing and commercial issues, strategy, and develop related forms and guidelines.
- Team with Bain’s IT professionals to address technology issues in client and vendor contracts, engagement processes, guidelines on usage, and risk assessments.
AI (30%)
- Advise on various AI initiatives including the use, development and regulation of AI tools and products.
- Advise on and negotiate AI-related contracts.
Digital Products & Strategic Initiatives (20%)
- Advise regarding and conduct due diligence on licensing and technology matters (including open source issues) in connection with the development and launch of new digital products and tools, strategic partnerships, and other strategic initiatives across Bain’s global operations.
- Play a key role in providing legal services and risk management advice to Bain digital product development teams.
ABOUT YOU
Experience
- Qualified lawyer with 5-8 years’ experience reviewing, drafting, and negotiating IT/tech and related contracts in a law firm or in-house setting.
- Experienced at drafting complex commercial and technology contracts.
- Interest in and general understanding of AI and technology.
- Experience in the technology sector (preferred).
- Experience with AI issues and servicing global clients (preferred).
Education
- Qualified lawyer (law degree required).
- Business fluency in English required.
- Additional language(s) an advantage.
Knowledge, Skills and Abilities
- Strong legal drafting and negotiation skills.
- Excellent written and verbal communication skills in English.
- Highly-developed organizational skills; articulate, detail-oriented, and hardworking.
- Knowledge of IT and IP law and significant experience with AI, software, licensing, SaaS, cloud, API, and other IT agreements.
- Ability to work independently within a team-focused environment.

U.S. COMPENSATION INFORMATION
Compensation for this role includes base salary, annual discretionary performance bonus, 401(k) plan with an annual employer contribution based on years of service and Bain’s best in class benefits package (details listed below).
Some local governments in the United States require a good-faith, reasonable salary range to be included in job postings for open roles. The estimated annualized compensation for this role is as follows:
- In Texas, the good-faith, reasonable annualized full-time salary range for this role is between $157,000 - $188,000
- In Massachusetts, the good-faith, reasonable annualized full-time salary range for this role is between $172,000 - $206,000
• Annual discretionary performance bonus
• This role may also be eligible for other elements of discretionary compensation
• 4.5% 401(k) company contribution, which increases after 3 years of service and is 100% vested upon start date
